Terms Of Service

Terms Of Service

  1. Acceptance of Terms

Welcome to RevivMD, Inc. (“RevivMD,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern access to and use of our website, digital platforms, administrative services, patient coordination services, and related offerings (collectively, the “Services”). By using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services. Healthcare services may be subject to separate provider

agreements and informed consents. Mandatory legal requirements and applicable patient rights control in the event of a conflict.

  1. About RevivMD and Our Business Model

RevivMD is a Management Services Organization (MSO), not a healthcare provider. RevivMD provides nonclinical administrative, technology, patient coordination, and business support services. RevivMD contracts with Beluga Health, which facilitates access to a national network of independent licensed healthcare professionals and appropriately licensed pharmacies. These professionals are independent of RevivMD and retain sole responsibility for evaluations, diagnoses, eligibility determinations, treatment plans, medication selection, dosing, prescribing, and clinical monitoring. RevivMD does not practice medicine, prescribe, dispense, or control professional medical judgment. Payment does not guarantee a prescription or treatment approval.

  1. Eligibility to Use Our Services

Users must generally be at least 18 years old, have legal capacity to agree, be in a jurisdiction where requested services are legally available, provide accurate information, and comply with applicable laws. Services and treatments vary by state, provider availability, clinical eligibility, pharmacy capacity, and regulations. RevivMD may restrict administrative access for lawful security or operational reasons.

  1. Telehealth and Independent Medical Services

Independent licensed clinicians may offer telehealth consultations by questionnaire, secure message, telephone, or video as appropriate under applicable law. Telehealth may not be suitable for every condition. Providers may require testing or in-person examination and may decline care or prescriptions. RevivMD does not provide the medical consultation or override provider decisions. Separate provider-specific terms and telehealth consents may apply.

  1. GLP-1, Peptide, Hormone, and Wellness Programs

Programs facilitated through independent providers may include GLP-1-related weight management, peptide-related treatments, men’s and women’s health, testosterone and hormone therapies, sexual wellness, and longevity services, when lawful and clinically appropriate. All prescription treatment requires a valid independent clinical evaluation and prescription. No medication, dose, result, or approval is guaranteed. Some prescriptions may be for off-label uses when permitted by law. Compounded medications are not FDA-approved and are not reviewed by FDA for safety, effectiveness, or quality before marketing. They must be prescribed and dispensed only when legally permitted; RevivMD does not claim they are equivalent to FDA-approved drugs.

  1. Independent Pharmacies and Prescription Fulfillment

Licensed clinicians may transmit prescriptions directly to appropriately licensed pharmacies. RevivMD does not issue prescriptions, compound or dispense drugs, or operate as a pharmacy. Pharmacies independently handle verification, dispensing, labeling, fulfillment, and delivery. Availability and shipment depend on lawful prescribing, licensing, supply, and operational conditions. Consult your clinician or pharmacist regarding dosage, adverse effects, storage, and treatment changes.

  1. Patient Responsibilities

You agree to provide truthful medical and registration information, disclose relevant medical history and medications to your clinician, keep contact details current, protect account credentials, use prescriptions only as directed, never share medications, and promptly report concerning reactions to your clinician. You must not impersonate another person or seek prescriptions fraudulently. Administrative platform access may be suspended for misconduct, subject to applicable law and continuity-of-care obligations.

  1. Medical Disclaimer

REVIVMD DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. Website educational materials, nutrition resources, and exercise guidance are general information and do not replace professional advice. RevivMD does not guarantee weight loss, hormone changes, energy, sexual performance, longevity outcomes, disease prevention, or absence of side effects. For a medical emergency, call 911 or seek emergency care; do not use administrative support channels for emergencies.

  1. Pricing, Payments, and Billing

Prices and applicable fees will be disclosed before purchase. By authorizing payment, you authorize the applicable processor to charge the disclosed amount. Charges may relate to administrative services, independent consultations, pharmacy services, fulfillment, shipping, or other disclosed components. The responsible service and billing parties should be identified as applicable. Prices may change prospectively, subject to law and completed transaction terms.

  1. No Mandatory Long-Term Subscription

Unless an offering expressly states otherwise and you affirmatively agree, a purchase does not enroll you in a long-term subscription. Any recurring billing program must disclose its price, frequency, renewal terms, and cancellation method before enrollment and comply with applicable automatic-renewal and consumer protection laws. Optional recurring charges require legally sufficient authorization.

  1. Cancellations, Refunds, and Returns

Refund eligibility depends on the purchased service, fulfillment stage, disclosures at checkout, and applicable law. Before a consultation, cancellation may be requested; performed services may carry disclosed, lawful nonrefundable fees. Completed professional services may be nonrefundable as legally permitted. A declined prescription does not itself guarantee a refund of services already rendered; fees for unperformed services will be refunded when required by law. Dispensed prescription medication generally cannot be returned for resale; defects, errors, shipping issues, and other remedies are handled by the responsible parties under applicable law. Contact customer support for billing disputes. Nothing here limits nonwaivable consumer rights.

  1. Shipping and Delivery

The responsible pharmacy or fulfillment provider handles shipment. Delivery estimates are not guarantees. Weather, carriers, medication supply, prescription verification, and regulations may cause delays. Provide accurate shipping information and follow storage instructions. For damaged, missing, delayed, or potentially temperature-compromised medication, promptly contact support and consult the dispensing pharmacy before use.

  1. Privacy and Protection of Health Information

RevivMD handles personal information under applicable privacy laws. Some information may be protected health information (PHI) under HIPAA. Depending on its role, RevivMD may act as a business associate, subcontractor, or independent business subject to other laws. Where RevivMD acts as a HIPAA business associate, its PHI activities are subject to applicable Business Associate Agreements and law. Independent covered providers retain their own HIPAA obligations. See our separate Privacy Policy.

  1. Electronic Communications and Consent

RevivMD may send lawful service-related communications about accounts, appointments, billing, and administrative matters. Marketing texts, automated calls, and promotional emails are subject to separate consent and opt-out rules where required. Use of the Services alone does not consent to promotional automated texts or waive healthcare confidentiality rights. Sensitive communications will be handled with appropriate safeguards.

  1. Intellectual Property

Original RevivMD website materials, trademarks, logos, branding, graphics, and content are protected by intellectual property laws. Personal, lawful, noncommercial viewing is permitted. Reproduction, redistribution, alteration, or commercial exploitation without authorization is prohibited except as allowed by law.

  1. Prohibited Activities

You may not access unauthorized accounts, submit fraudulent information, impersonate patients, obtain prescriptions through deception, disrupt systems, introduce malware, improperly scrape information, harass others, illegally resell medications, or use the Services unlawfully. RevivMD may reasonably restrict access for violations, consistent with law and patient protections.

  1. Third-Party Providers and Services

Independent clinicians, pharmacies, technology vendors, and payment processors may have their own terms, notices, and professional duties. RevivMD does not direct independent clinical or dispensing decisions. Nothing in these Terms relieves RevivMD or another party of responsibility for its own acts or omissions where liability is imposed by law.

  1. No Guarantee of Availability

Administrative systems and service access may be interrupted by maintenance, outages, provider or pharmacy limitations, supply issues, and regulatory changes. RevivMD may modify or discontinue administrative offerings as legally permitted, while honoring applicable obligations for existing purchases. No medication or program is guaranteed to remain available.

  1. Limitation of Liability

To the fullest extent permitted by law, RevivMD disclaims liability for indirect, incidental, special, consequential, or punitive damages arising from nonclinical administrative services. Facilitating access does not itself make RevivMD responsible for independent clinical or pharmacy decisions. Nothing excludes liability for fraud, willful misconduct, gross negligence, personal injury, statutory violations, or other matters where a limitation is prohibited, or waives nonwaivable patient rights.

  1. Disclaimer of Warranties

To the extent permitted by law, RevivMD’s website and nonclinical technology services are provided on an “as available” basis without guarantees of uninterrupted, error-free operation or device compatibility. This does not alter independent clinicians’ or pharmacies’ professional obligations or disclaim warranties that cannot lawfully be excluded.

  1. Indemnification

To the extent permitted by law, users agree to indemnify RevivMD against third-party claims directly resulting from their intentional unlawful conduct, fraudulent submissions, or material misuse of the website. This does not require indemnification for RevivMD’s own negligence, misconduct, or legal violations and does not waive statutory rights.

  1. Regulatory Compliance and Treatment Availability

Federal and state healthcare laws, FDA requirements, professional licensing, telehealth rules, and pharmacy regulations may change. Compounded medications or other treatments may become restricted or unavailable. RevivMD may discontinue administrative support for legally unavailable treatments. Alternative treatments and prescription changes remain solely within independent clinicians’ judgment.

  1. Governing Law and Dispute Resolution

Except where prohibited by law, these Terms are governed by the laws of RevivMD’s state of legal organization, without regard to conflict-of-law rules. Mandatory protections in a patient’s home state may apply. Parties are encouraged to attempt good-faith informal resolution of nonemergency contract disputes. Regulatory complaints and nonwaivable legal remedies remain available. These Terms do not establish mandatory arbitration or a class-action waiver.

  1. Modifications to These Terms

RevivMD may update these Terms for operational, technical, or legal changes. The current version and effective date will be posted on the website. Material changes will be communicated where required. Updates will not retroactively remove accrued rights or alter completed transactions except as legally permitted.

  1. Severability

If any provision is unenforceable, the remainder remains effective to the extent permitted by law. Invalid provisions may be narrowed only to the extent legally permissible.

  1. Entire Agreement

These Terms, together with applicable purchase disclosures, the Privacy Policy, and separately accepted service-specific agreements, govern RevivMD’s administrative Services. Independent medical services may be governed by separate provider agreements and informed consent documents.
